Welcome to Bizeneed India Private Limited. These Terms of Service constitute a legally binding agreement between you ("User", 'you', or 'your') and Bizeneed India Private Limited ("Company", 'we', 'us', or 'our') governing your access to and use of the Bizeneed platform, website (bizeneed.in), mobile applications, API services, and all related professional services collectively referred to as the 'Platform' or 'Services'. These Terms are framed in strict accordance with the Information Technology Act, 2000, the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and all other applicable Indian laws and regulations. Please read these Terms carefully before using our Platform. By accessing, browsing, or using any part of the Platform, you agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must immediately discontinue use of our Platform and services.

• These Terms govern all users including individual entrepreneurs, professionals, businesses, LLPs, partnerships, and corporate entities
• The Platform operates as a technology-enabled intermediary connecting users with qualified professionals for compliance and advisory services
• By creating an account or purchasing any service, you confirm you have read, understood, and agree to these Terms
• If you act on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these Terms
• Continued use of the Platform after any modifications to these Terms constitutes acceptance of the updated Terms

By accessing, browsing, or using the Bizeneed Platform in any manner, including registering an account, purchasing services, or merely viewing content, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872, and agree to be bound by these Terms of Service in their entirety. If you are accessing the Platform on behalf of a company, LLP, partnership firm, trust, or any other legal entity, you represent and warrant that you possess the necessary authority and consent to bind such entity to these Terms. Your continued use of the Platform following the posting of any changes to these Terms constitutes your ongoing acceptance of such changes. We reserve the right to modify, amend, or replace these Terms at any time without prior notice. It is your responsibility to review these Terms periodically for changes.

• You must be at least 18 years of age and have the legal capacity to enter into binding agreements under applicable law
• If using the Platform on behalf of an entity, you must have proper authorisation to bind that entity
• These Terms apply to all visitors, users, and others who access or use the Platform
• If you do not agree to these Terms, you must immediately cease all use of the Platform and services
• We may update these Terms at any time; the updated version will be posted with a revised effective date
• Your continued use of the Platform after changes constitutes acceptance of the modified Terms

Bizeneed India Private Limited operates a technology-enabled platform that connects businesses with qualified chartered accountants, company secretaries, legal advisors, and other licensed professionals for compliance, accounting, tax, advisory, and registration services. Our platform facilitates the delivery of professional services including company and LLP incorporation under the Companies Act, 2013, GST registration and compliance under the GST Act, 2017, income tax return filing under the Income-tax Act, 2025 (and the Income-tax Act, 1961 for earlier periods), trademark and intellectual property registration, accounting and bookkeeping services, payroll management and labour law compliance, ROC annual filing and corporate governance, and various other professional services as may be offered from time to time. We act primarily as an intermediary platform, and the professional services are rendered by independent qualified professionals. The nature, scope, and deliverables of each service are as specified in the respective service engagement agreement or order confirmation.

• Company registration, LLP registration, OPC incorporation, and other business incorporation services
• GST registration, GSTR return filing, input tax credit reconciliation, and GST compliance management
• Income tax return filing (ITR-1 through ITR-7), tax planning, advance tax computation, and tax advisory
• Trademark registration, copyright registration, design registration, and other IP services
• Accounting, bookkeeping, financial reporting, and preparation of financial statements
• Payroll management, PF/ESI compliance, TDS/TCS return filing, and labour law compliance
• ROC annual filing (AOC-4, MGT-7), DIR-3 KYC, charge creation, and other statutory compliance services
• Advisory services including business structuring, regulatory consultations, and statutory filings

As a user of the Bizeneed Platform, you agree to provide accurate, complete, and up-to-date information in all interactions. You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any authentication tokens, and for all activities conducted under your account. You agree not to use the Platform for any unlawful, fraudulent, or unauthorised purpose, to not interfere with or disrupt the Platform's functionality or security, and to comply with all applicable laws and regulations including the Companies Act, 2013, GST Act, 2017, Income-tax Act, 2025, Prevention of Money Laundering Act, 2002, and the Information Technology Act, 2000. You agree to provide all necessary documents, information, and cooperation required for timely service delivery within the agreed timelines.

• Provide accurate, complete, and current information for all service engagements and statutory filings
• Maintain strict confidentiality of account credentials and immediately report any unauthorised access

• Ensure all information and documents submitted for statutory filings are correct, complete, and verifiable
• Notify Bizeneed immediately of any changes to business structure, registered address, or authorised signatories
• Not use the Platform for any unlawful, fraudulent, or unauthorised commercial purposes
• Comply fully with KYC/AML requirements as mandated under applicable Indian laws
• Not reproduce, duplicate, copy, sell, or redistribute any Platform content without prior written consent
• Not attempt to gain unauthorised access to any portion of the Platform or other users' accounts

Service fees are as communicated at the time of engagement and become binding upon acceptance by you. All fees are quoted exclusive of GST; GST at the applicable rate is charged separately on the invoice. Government fees, stamp duties, out-of-pocket expenses, courier charges, attestation fees, and third-party charges are billed separately and are payable in addition to our professional fees. Late payments may attract interest at 18% per annum or the maximum rate permitted under applicable law, calculated from the due date until the date of actual payment. Subscription-based services are billed in advance on a monthly or annual basis and auto-renew unless cancelled at least 7 days before the renewal date. All payments must be made through the official payment channels integrated with the Platform. We reserve the right to suspend or restrict access to services for accounts with overdue payments exceeding 30 days.

• Service fees are as communicated at the time of engagement and are binding upon acceptance
• Fees are exclusive of GST; GST at the applicable rate is charged separately on the invoice
• Government fees, stamp duties, out-of-pocket expenses, and third-party charges are billed separately
• Late payments attract interest at 18% per annum calculated from the due date to the date of actual payment
• Subscription fees are billed in advance and auto-renew unless cancelled at least 7 days before renewal
• All payments must be made through official payment gateways integrated with the Platform
• Services may be suspended for accounts with overdue payments exceeding 30 days
• Refund eligibility is governed by our Refund Policy available at /refund-policy
• You are responsible for all applicable taxes, cess, and duties as per applicable law

All content, features, functionality, software, code, designs, text, graphics, logos, trademarks, service marks, trade names, and all other materials on the Bizeneed Platform are the exclusive property of Bizeneed India Private Limited or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain full and complete ownership of all business data, documents, files, and content that you upload to the Platform. We are granted a limited, non-exclusive, royalty-free licence to use, process, and store your data solely for the purpose of providing our services. Upon termination of services, you may request the return or secure deletion of your data in accordance with our data retention policies. Our trademarks, logos, and brand elements may not be used by you without prior written consent.

• All Platform content, software, branding, and materials are the exclusive property of Bizeneed India Private Limited
• You retain ownership of all business data, documents, and content you upload to the Platform
• We obtain a limited, non-exclusive licence to process your data solely for the purpose of service delivery
• Our trademarks, logos, and brand names may not be used without prior written consent from Bizeneed
• You may not reverse-engineer, decompile, disassemble, or attempt to extract source code from our Platform
• User-generated content submitted for services remains your property; we do not claim ownership
• Unauthorised use of our intellectual property may result in legal action under applicable laws

To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited's aggregate liability under any service engagement or claim arising from these Terms or the use of our Platform shall not exceed the service fees paid by you for the specific service in the preceding 12 months. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, loss of business opportunities, or any other financial loss arising from the use or inability to use our services, even if we have been advised of the possibility of such damages. We are not liable for delays, errors, rejections, or adverse outcomes caused by government authorities, regulatory bodies, or third-party service providers.

• Aggregate liability limited to fees paid for the specific service in the preceding 12 months
• No liability for indirect, incidental, special, consequential, or punitive damages of any kind
• No liability for loss of profits, data, goodwill, business opportunities, or anticipated savings
• Not liable for delays, errors, or rejections caused by government authorities or third-party service providers
• Not liable for losses arising from inaccurate, incomplete, or delayed information provided by you
• No liability for service interruptions due to force majeure events including acts of God, natural disasters, government actions, or technical failures beyond reasonable control
• Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation

Either party may terminate the service relationship by providing not less than 30 days' prior written notice to the other party. Bizeneed may immediately suspend or terminate your access to the Platform and all associated services without prior notice if you breach these Terms, fail to make payments when due, provide false, misleading, or inaccurate information, or engage in any activities that harm the Platform, other users, or our business interests. Upon termination, all outstanding fees and charges become immediately due and payable. We will make reasonable efforts to deliver completed work product and provide transition assistance for a period of 15 days post-termination. Access to the Platform, accounts, and all associated services will be suspended upon termination. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect.

• Either party may terminate with not less than 30 days' prior written notice
• We may immediately suspend or terminate for breach of Terms, non-payment beyond 30 days, or fraudulent activity
• All outstanding fees and charges become immediately due and payable upon termination
• Completed work product will be delivered and reasonable transition assistance provided for 15 days
• Access to the Platform, accounts, and all associated services will be suspended upon termination
• Provisions relating to confidentiality, liability, dispute resolution, and intellectual property survive termination
• Upon request within 30 days of termination, user data will be provided in a portable format

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts in New Delhi, Delhi, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the use of our Platform. Any dispute arising from or in connection with these Terms or the use of our services shall first be attempted to be resolved through good-faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent. The seat of arbitration shall be New Delhi, Delhi, India, and the language of arbitration shall be English. The arbitration award shall be final and binding.

• These Terms are governed by the laws of India without regard to conflict of law provisions
• Courts in New Delhi, Delhi, India have exclusive jurisdiction over all disputes
• Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
• Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
• Seat of arbitration: New Delhi, Delhi, India; Language: English
• The arbitration award shall be final and binding on all parties
• Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction
