What Is SPICe+ Form Filing?

SPICe+ (Simplified Proforma for Incorporation Company Plus) is an integrated web-based form introduced by the Ministry of Corporate Affairs for streamlined company incorporation in India. INC-32 is the form number for SPICe+. It replaced the earlier INC-29 and significantly simplified the incorporation process by combining multiple forms into a single integrated application.

SPICe+ combines the following forms: (1) INC-32 (SPICe+) - main incorporation form, (2) INC-33 (e-MoA) - electronic Memorandum of Association, (3) INC-34 (e-AoA) - electronic Articles of Association, (4) INC-35 (Agile Pro) - optional services for GST, EPFO, ESIC registration, (5) SPICe+ Form for PAN application, (6) SPICe+ Form for TAN application, (7) DIR-3 for DIN application for directors without DIN.

The SPICe+ process has two modes: (a) SPICe+ with RUN: First obtain name approval through the RUN web service, then submit SPICe+ with the approved name. Name approval is valid for 20 days. (b) SPICe+ without RUN: Submit the company name directly in the SPICe+ form. MCA checks the name during processing. Both modes are free of government fee for the name component and the form itself under the 'Jan Seva Kendra' initiative.

Under the Zero Fee policy, the government does not charge any fee for SPICe+ (INC-32), PAN, TAN, GST, EPFO, or ESIC registrations. Stamp duty on MoA and AoA applies separately and varies by state. The Agile Pro component allows simultaneous application for all post-incorporation registrations, saving approximately 15-30 working days.

SPICe+ is the mandatory integrated form for incorporating a new company in India. It is used by all types of companies and business structures.

  • Nidhi Company: A class of NBFC focused on thrift and savings among members. Incorporation through SPICe+ with the Nidhi-specific object clause and minimum 7 subscribers and 3 directors.
  • Producer Company: Agricultural or primary produce-oriented companies under Section 465 of the Companies Act. SPICe+ supports incorporation with appropriate object clauses for agricultural activities.
  • Subsidiary of Foreign Company: Indian subsidiary of a foreign parent company. The foreign director must obtain DIN through Form DIR-3 before SPICe+ filing. The foreign company must provide its Certificate of Incorporation (apostilled) and board resolution authorizing the investment.

Name Approval via MCA RUN (Pre-filing or Integrated)

Apply for name approval through the MCA RUN (Reserve Unique Name) web service or directly in SPICe+. Submit at least 2 alternative names. Obtain Class 2 or Class 3 Digital Signature Certificates (DSC) from a licensed certifying authority (eMudhra, Sify, nCode). Apply for DIN (Form DIR-3) for directors who don't have one. Post-Incorporation Compliance

After receiving COI: (1) Open a bank current account in the company name within 30 days, (2) Deposit subscription money into the bank account, (3) Issue share certificates to subscribers within 60 days (Section 56), (4) File Form INC-22 for registered office verification within 30 days, (5) Appoint statutory auditor within 30 days (Section 139), (6) Maintain statutory registers, (7) Hold first board meeting within 30 days of incorporation.

Common Mistakes in SPICe+ Filing

Submitting only one name or a name violating Section 16(2)

Submit 3-5 alternative names. Check for restricted words (Bank, Insurance, Venture Capital) and similarity with existing companies. Use MCA name search before applying.

Incorrect or vague MoA object clauses

The MoA main objects must precisely describe your business activity using specific NIC codes. Vague objects like 'all kinds of business' will be rejected. Have at least 3 distinct objects.

DSC mismatch or expired DSC

Verify DSC validity (minimum 1 year remaining) and ensure the DSC is registered on MCA portal. The DSC must belong to a director. Mismatched DSC causes immediate STP rejection.

Mismatched subscriber details in MoA

All subscribers' PAN, Aadhaar, and address must exactly match the details on the identity documents. Any spelling mismatch causes rejection.

Wrong stamp paper value for MoA/AoA

Stamp duty varies by state and authorized capital. Check your state's stamp duty rates before printing MoA and AoA on stamp paper.

Not obtaining DIN for all directors before SPICe+

Ensure all directors have active DIN. If using SPICe+ for DIN, include all directors in the form. Directors without DIN cannot be listed.

Skipping post-incorporation compliance

After COI: open bank account, deposit subscription money, issue share certificates within 60 days, file INC-22 within 30 days, appoint auditor within 30 days.

Not using correct NIC codes for business activity

Use the National Industrial Classification (NIC) 2008 codes from the MCA portal for your business activity. Incorrect NIC codes can cause rejection during object clause verification.

Under the Companies (Amendment) Act, 2015, there is no minimum paid-up capital requirement. The authorized capital can be as low as Rs. 1 lakh.
